Terms of Service

1. Parties

These Terms of Service (“Terms”) form a binding agreement between:

  • Aarion Labs and Technologies Private Limited, an Indian private limited company with CIN U62099TZ2026PTC038478, registered office at B3/110, JJ Nagar, Varapalayam, Kolappalur (Erode), Gobichettipalayam, Erode 638456, Tamil Nadu (“Seyvik”, “we”, “us”); and
  • The educational institution or other business entity that signs up for the Seyvik service (the “Tenant”, “you”).

2. The service

Seyvik is a software-as-a-service platform that enables a Tenant to manage WhatsApp-based communication with its enrolled students and parents/guardians, including attendance notifications, fee reminders, exam updates, and similar transactional messages. The Service is delivered via WhatsApp Business Platform (Cloud API) operated by Meta Platforms Inc.

3. Account and acceptable use

You agree to:

  • Provide accurate registration information including a valid GSTIN and PAN of the Tenant institution.
  • Upload only the personal data of individuals (students, parents, faculty) for whom you have obtained the consent required under the DPDPA 2023.
  • Not use the Service to send marketing messages to recipients who have not opted in.
  • Not use the Service to send messages prohibited by WhatsApp’s Business Messaging Policy (e.g. spam, phishing, illegal goods, regulated content).
  • Not attempt to reverse-engineer, scrape, or circumvent the Service’s technical controls.

We reserve the right to suspend or terminate access if a Tenant materially breaches these Terms.

4. Fees

The Service is billed monthly on a per-student basis. The monthly rate per student is set during onboarding and communicated in writing. Invoices are issued on the first of each calendar month for the prior month’s usage, payable within 15 days via Razorpay or NEFT.

All fees are exclusive of GST, which will be added at the prevailing rate (currently 18%) and remitted to the appropriate authority.

5. Approval and onboarding

New Tenant signups are subject to verification of the GSTIN and PAN by Seyvik. Until the Tenant is approved by Seyvik, the Tenant’s ability to create or modify records is limited. Read-only access to the dashboard is provided during the pending-approval period.

6. Data ownership

The Tenant retains all rights to the personal data and content it uploads to the Service. Seyvik acts as a Data Processor for such Tenant Data under the DPDPA 2023. Seyvik may use aggregated and de-identified usage statistics to improve the Service.

7. Confidentiality

Each party shall protect the other’s confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information does not include information that is public, independently developed, or rightfully received from a third party without a duty of confidentiality.

8. Service availability

We target 99.5% monthly uptime measured from our edge. Planned maintenance will be communicated at least 48 hours in advance. Service interruptions caused by Meta, Cloudflare, or other upstream providers are excluded from our SLA calculations.

9. Disclaimer of warranties

The Service is provided “as is”. To the maximum extent permitted by law, Seyvik disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by Indian law, Seyvik’s aggregate liability for any claims arising out of or related to these Terms shall not exceed the fees paid by the Tenant to Seyvik in the six (6) months preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

11. Termination

Either party may terminate this agreement with 30 days’ written notice. Seyvik may terminate immediately for material breach (including non-payment beyond 30 days, or breach of acceptable use). On termination, the Tenant may request export of its data within 30 days, after which data is deleted per the Privacy Policy.

12. Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Erode, Tamil Nadu. Before initiating litigation, parties shall attempt good-faith negotiation for 30 days.

13. Changes to these Terms

We may update these Terms with 30 days’ notice via email to the registered Tenant admin. Continued use after the effective date constitutes acceptance.
